Citigroup Global Markets to price buffer securities linked to S&P 500

Knoxville, Tenn., April 1 – Citigroup Global Markets Holdings Inc. plans to price 0% buffer securities due April 29, 2021 linked to the S&P 500 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will be guaranteed by Citigroup Inc.

If the index return is positive, the payout at maturity will be par plus the index return. Investors will receive par if the index falls by up to the buffer amount, which is expected to be 22% to 27% and will be set at pricing, and will lose 1% for every 1% that the index declines beyond the buffer.

Citigroup Global Markets Inc. is the agent.

The notes (Cusip: 17324C2L9) will price April 26 and settle three business days after pricing.
