HSBC plans three-year market participation notes linked to S&P 500

San Diego, May 31 - HSBC USA Inc. plans to price 0% buffered uncapped market participation securities due June 30, 2015 linked to the S&P 500 index, according to an FWP filing with the Securities and Exchange Commission.

The payout at maturity will be par plus any gain in the index. Investors will receive par if the index falls by 20% to 25% or less and will be exposed to losses beyond the buffer level. The exact buffer level will be set at pricing.

The notes (Cusip: 4042K1P80) are expected to price June 25 and settle June 28.

HSBC Securities (USA) Inc. will act as agent.
