New Issue: Morgan Stanley prices $5.4 million Lasers tied to S&P 500, two iShares MSCI ETFs

San Diego, April 6 - Morgan Stanley priced $5.4 million of 0% Equity Leading Stockmarket Return Securities due April 8, 2013 linked to an equity basket, according to a 424B2 filing with the Securities and Exchange Commission.

The basket includes equal weights of the S&P 500 index, the iShares MSCI Emerging Markets index fund and the iShares MSCI EAFE index fund.

If the basket closes above the downside threshold value - 70% of the initial basket level - on each day of the life of the notes, the payout at maturity will be par of $10.00 plus the greater of the basket return and 8%. Otherwise, the payout will be par plus the basket return, which could be positive or negative.

In either case, the payout will be capped at $11.80 per note.
