JPMorgan to issue review notes linked to S&P 500, Dow

New York, Feb. 15 – JPMorgan Chase Financial Co. LLC plans to issue 0% review notes due Feb. 21, 2024 linked to the least performing of the S&P 500 index and the Dow Jones industrial average, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will be automatically called at par plus an annualized call premium of 7.4% if each index closes at or above its call value, 100% of its initial level, on any quarterly review date after six months.

If the notes are not called and the final level of each index is greater than or equal to its barrier value, 80% of its initial level, the payout will be par. Otherwise, investors will lose 1% for each 1% that the least-performing index finishes below its initial level.

The notes are guaranteed by JPMorgan Chase & Co.

J.P. Morgan Securities LLC is the agent.

The notes were expected to price on Feb. 15 and to settle on Feb. 18.

The Cusip number is 48133CT44.

The fee is 2.15%.
