New Issue: TD Bank prices $38.79 million Leveraged Index Return Notes on S&P 500

Los Angeles, March 30 – Toronto-Dominion Bank priced $38.79 million of 0% Capped Leveraged Index Return Notes due March 31, 2023 linked to the S&P 500 index, according to a 424B2 filed with the Securities and Exchange Commission.

TD Bank will issue a total of $38,802,110 principal amount of notes, or 3,880,211 units with a $10 face amount each. The issuer sold 325,000 units at $9.95 each to an individual investor and the remainder at par of $10 to the public for a total of $38,785,860.

The payout at maturity will be par of $10 plus 2 times any index gain, up to a maximum payout of par plus 12.78%.

If the index falls by up to 10%, the payout will be par.

Otherwise, investors will lose 1% for every 1% decline beyond 10%.
