SGS International to start roadshow Tuesday for $200 million eight-year notes

By Paul A. Harris

St. Louis, Dec. 2 - SGS International, Inc., a financing subsidiary of Southern Graphics Systems Inc., will begin a roadshow Tuesday for a $200 million offering of eight-year senior subordinated notes (expected ratings Caa1/B-), according to an informed source.

Pricing is expected on Dec. 14.

UBS Investment Bank and Lehman Brothers are bookrunners for the Rule 144A with registration rights offering.

The notes come with four years of call protection.

Proceeds will be used to partially fund the leveraged buyout of Southern Graphics Systems by Citigroup Venture Capital.

The Louisville, Ky., company is a digital imaging and communications services provider and also provides graphic services to the consumer products packaging market.
