Societe Generale to price 4% Performance ReConvs linked to Arch Coal

Washington, Feb. 6 - Societe Generale, New York Branch plans to price an issue of 4% Performance ReConvs notes due Feb. 28, 2008 linked to Arch Coal, Inc. stock, according to a term sheet.

Countrywide Securities Corp. is the distributor.

Interest will be payable quarterly.

If the price of Arch stock finishes above the initial price, the payout will be $1,000 plus twice the percentage gain on the underlying stock, capped at a return of 18.3%.

If Arch stock falls to or below the contingent protection level, 80% of the initial level, during the life of the notes and the stock finishes below the initial share price, the payout will be $1,000 divided by the initial price, in stock or the equivalent in cash.

Otherwise, the payout is par.

The notes will price on Feb. 23 and settle on Feb. 28.

Societe Generale will issue up to $10 million of the securities.
