The depositor is Parsippany, N.J.-based Hennion & Walsh, Inc.

The trust seeks a high level of income and total return potential by combining asset allocation and equity securities into a unified strategy. It invests in a fixed, diversified portfolio of publicly traded common stocks of closed-end investment companies. The weightings of the stocks are allocated equally from four asset classes: Domestic Mid-Cap, Domestic Small-Cap, Domestic Large-Cap and International/ADR.

On Nov. 3, the initial date of deposit, the total value of contracts to purchase securities in the trust was $150,040, represented by 15,156 units priced at $10.00 per unit, each with a net asset value of $9.5625.

The units have a sales charge of 3.95% of the public offering price, consisting a 1% initial sales charge, a 2.45% deferred sales charge and a 0.5% creation and development fee. The sales charge may be reduced down to 2.45% on a sliding scale depending on the investment amount.

The trust will terminate in two years.
