Skyworks registers $45 million 15% convertibles for resale by Conexant

New York, Jan. 22 - Skyworks Solutions, Inc. registered $45 million of 15% senior subordinated convertible notes due 2005 with the Securities and Exchange Commission for resale.

The Woburn, Mass. wireless semiconductor company issued the notes to Conexant Systems, Inc. in exchange for outstanding debt.

Conexant or security holders it assigns the notes may use the prospectus.

The notes mandatorily convert into stock at maturity and may optionally be converted by holders earlier.

Issue:Senior subordinated convertible notes
Amount:$45 million
Coupon:15% payable quarterly
Maturity:June 30, 2005
Conversion price:$7.87; if stock is trading below conversion price then converts at then-current market price subject to a floor of 80% of $7.87
