SigmaTel, Freescale merger clears waiting period hurdle

Charlotte, N.C., April 11 - The Hart-Scott-Rodino waiting period expired in the proposed merger of SigmaTel, Inc. and a wholly owned subsidiary of Freescale Semiconductor, Inc., SigmaTel announced on Friday.

SigmaTel said its shareholders will vote on the merger at a special meeting on April 21.

The record date for the meeting is March 6, the release said.

In February, it was reported that Freescale agreed to acquire SigmaTel for $3 per share in cash in a deal valued at some $110 million.

Freescale designs and manufactures embedded semiconductors for the automotive, consumer, industrial, networking and wireless markets. The privately held company is based in Austin, Texas.

SigmaTel, also based in Austin, is a fabless semiconductor company that designs, develops and markets mixed-signal integrated circuits for the consumer electronics market.
