SG Structured Products to price 15% Tempo ReConvs linked to Google

Chicago, April 16 - SG Structured Products, Inc. plans to price 15% annualized Tempo ReConvs due Oct. 30, 2008 linked to Google Inc. common stock, according to a term sheet.

The notes will be automatically redeemed in whole if the closing price of Google shares exceeds the initial share price on July 30, 2008. The redemption price will be par plus accrued interest.

At maturity, investors will receive par unless Google stock falls below the knock-in price - 70% of the initial share price - during the life of the notes and finishes below the initial share price, in which case the payout will be a number of Google shares equal to $1,000 divided by the initial share price.

The notes will price on April 25 and settle on April 30.
