SI International, Serco resubmit filing with CFIUS again; merger could close by year end

Charlotte, N.C., Dec. 1 - SI International, Inc. and Serco Inc. withdrew and resubmitted their Oct. 31 joint voluntary notice with the Committee on Foreign Investment in the United States to provide up to 30 additional days of review by the committee, it was reported in a form 8-K filed with the Securities and Exchange Commission.

The notice was originally filed on Oct. 1 and resubmitted on Oct. 31 with the permission of the committee. The second resubmission was made on Wednesday.

SI expects its merger with Serco to be completed during the fourth quarter of 2008, pending successful completion of the committee review process, the filing said.

In August, SI agreed to be acquired by Serco Group for $32 per share in cash in a deal valued at about $423 million.

SI shareholders approved the merger on Nov. 13, it was previously reported.

Serco is a Reston, Va.-based government contractor. Its customers include the Department of Defense, U.S. intelligence and security agencies and federal civilian agencies.

SI International provides information services, technology and network solutions primarily to the federal government. The company is also located in Reston, Va.
