Atrium Windows and Doors to start roadshow Monday for $300 million five-year secured notes

Portland, Ore., April 4 - Atrium Windows and Doors, Inc. plans to start a roadshow on Monday in New Jersey for a $300 million offering of five-year senior secured notes, according to a market source.

Subsequent East Coast roadshow stops include New York on Tuesday and Boston on Wednesday.

The deal then will go on a roadshow on the West Coast of the United States on Thursday and Friday.

An investor conference call is scheduled for Tuesday.

The deal is set to price late in the week ahead.

Physical bookrunner Barclays is coordinating the East Coast roadshow presentations.

Physical bookrunner Deutsche Bank Securities Inc. is managing the West Coast roadshow roadshow presentations, and will bill and deliver.

The Rule 144A and Registration S for life notes become callable after two years at par plus 50% of the coupon. A special call provision allows the issuer to redeem 10% of the notes annually at 103 during the non-call period.

The notes are secured on a second-priority basis by the ABL collateral and on a first priority basis by substantially all of the other tangible and intangible assets of the issuer and guarantors.

Credit ratings remain to be determined.

The Dallas-based residential window and door manufacturer plans to use the proceeds to refinance debt.
