New Issue: Citigroup sells $1.34 million autocallable contingent coupon notes on S&P, Russell

Chicago, Oct. 23 – Citigroup Global Markets Holdings Inc. priced $1.34 million of autocallable contingent coupon equity-linked securities due April 5, 2021 linked to the least performing of the S&P 500 index and the Russell 2000 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Citigroup Inc.

Each quarter, the notes pay a contingent coupon at a rate of 8.25% per year if each index closes at or above its coupon barrier, 70% of its initial level, on the valuation date for that quarter.

The notes will be automatically called at par plus the contingent coupon if each index closes at or above its initial level on any quarterly valuation date beginning in March 2020 and ending in December 2020.

If the notes are not called and each index finishes at or above its knock-in level, 70% of its initial level, the payout at maturity will be par plus the final contingent coupon. Otherwise, investors will lose 1% for each 1% decline of the least-performing index from its initial level.
