New Issue: Citigroup sells $509,000 autocallable contingent coupon notes on two indexes

Chicago, Dec. 27 – Citigroup Global Markets Holdings Inc. priced $509,000 of autocallable contingent coupon equity-linked securities due June 1, 2020 linked to the worst performing of the S&P 500 index and the Russell 2000 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Citigroup Inc.

Each quarter, the notes pay a contingent coupon if each index closes at or above its coupon barrier, 70% of its initial level, on the valuation date for that quarter. The contingent coupon rate is 6.75% per year.

The notes will be called at par plus the coupon if each index closes at or above its initial level on any quarterly observation date.

If the notes are not called and each index finishes at or above its initial level, investors will receive par.

If the worst performing index is below its initial level and neither index has closed below its 70% knock-in value on any trading day while the notes are under observation, investors will receive par. If the worst performing index finishes below its initial value and either index has closed below its 70% knock-in value during the life of the notes, investors will be exposed to the losses of the worst performing index.
