GS Finance to price digital notes on EM ETF, S&P 500, Russell 2000

Morgantown, W.Va., Feb. 1 – GS Finance Corp. plans to price 0% digital notes due Feb. 7, 2023 linked to the iShares MSCI Emerging Markets exchange-traded fund, the S&P 500 index and the Russell 2000 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Goldman Sachs Group, Inc.

If the return of each underlier is at least negative 45%, the payout at maturity will be the greater of the threshold settlement amount, $1,345 per $1,000 of notes, and par plus the return of the least performing underlier.

Otherwise, investors will lose 1% for every 1% decline of the least performing underlier from its initial level.

Goldman Sachs & Co. is the underwriter.

The notes will price on Feb. 2.

The Cusip number is 40055AHX8.
