Goldman plans callable contingent coupon notes tied to S&P, Russell

Chicago, Feb. 14 – GS Finance Corp. plans to price callable contingent coupon index-linked notes due February 2022 linked to the lesser performing of the S&P 500 index and the Russell 2000 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will be guaranteed by Goldman Sachs Group, Inc.

The notes will pay a contingent quarterly coupon at an annualized rate of 7% if each index closes at or above its coupon barrier level, 50% of its initial level, on the valuation date for that quarter.

The notes are callable at par plus any contingent coupon due on any coupon payment date beginning in August up to the payment date in November 2021.

The payout at maturity will be par plus the contingent coupon unless either index finishes below 50% trigger level, in which case investors will be fully exposed to any losses of the worse performing index.
