New Issue: TD Bank sells $9 million callable contingent interest barrier notes on indexes, ETF

Buffalo, N.Y., Dec. 20 – Toronto-Dominion Bank priced $9 million of callable contingent interest barrier notes due Sept. 18, 2025 linked to the least performing of the iShares MSCI EAFE ETF, the Nasdaq-100 index and the Russell 2000 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will pay a contingent quarterly coupon at an annual rate of 10.9% if each underlier closes at or above the 70% coupon barrier level on the relevant observation date.

The notes will be callable at par on any quarterly observation date.

The payout at maturity will be par plus the final coupon if each underlier finishes at or above its coupon barrier level.

If the worst performer finishes below its coupon barrier but not below the 65% barrier level, the payout at maturity will be par. Otherwise, investors will lose 1% for each 1% decline of the worst performer from its initial level.
