New Issue: Citi sells $750,000 market-linked autocalls with contingent downside on indexes

Chicago, Oct. 16 – Citigroup Global Markets Holdings Inc. priced $750,000 of market-linked securities – autocallable with contingent coupon and contingent downside due Oct. 15, 2026 linked to the performance of the S&P 500 index, the Russell 2000 index and the Nasdaq-100 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Citigroup Inc.

The notes will pay a quarterly coupon at an annual rate of 7% if all three indexes close above their 50% coupon barrier values on the related observation date.

The notes will be called at par if all three indexes close above their initial levels on any quarterly potential autocall date starting after six months.

If the notes are not called, the payout at maturity will be par unless any index finishes below its 50% downside threshold, in which case investors will be fully exposed to the decline of the worst performer from its initial level.
