New Issue: GS Finance sells $2.68 million autocallable index-linked notes on Russell

Chicago, May 19 – GS Finance Corp. priced $2.68 million of 0% autocallable index-linked notes due May 19, 2028 tied to the Russell 2000 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Goldman Sachs Group, Inc.

If the index closes at or above its initial level on May 13, 2024, the notes will be called at par plus 12%.

If the notes are not called and the index return is positive or zero, the payout at maturity will be par plus 204.4% of the index return.

If the index return is negative but not less than negative 35%, the payout will be par; otherwise, investors will be fully exposed to the losses of the index.

Goldman Sachs & Co. LLC is the underwriter.
