GS Finance plans autocallable index-linked notes on Russell 2000

New York, Dec. 23 – GS Finance Corp. plans to price 0% autocallable index-linked notes due Jan. 4, 2028 tied to the Russell 2000 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Goldman Sachs Group, Inc.

The notes will be called at par plus a 12.4% annualized call premium if the index closes at or above its initial level on any annual observation date.

If the index finishes at or above its initial level, the payout at maturity will be the greater of 25% and the index gain.

If the index declines by up to 25%, the payout will be par. Otherwise, investors will lose 1% for each 1% decline beyond 25%.

Goldman Sachs & Co. LLC is the underwriter.

The notes will price on Dec. 28 and settle on Dec. 30.

The Cusip number is 40057PBC5.
