Rural/Metro amends rights agreement, lowers triggering percentage to 5%

Charlotte, N.C., Sept. 18 - Rural/Metro Corp. amended the terms of its Aug. 24, 2005 rights agreement with Computershare Trust Co., NA.

The amendment reduces the beneficial ownership triggering percentage at which a person will become an acquiring person and at which a distribution date will occur to 5% from 15%, it was reported in a form 8-K filed with the Securities and Exchange Commission.

Existing shareholders with holdings of 5% or more of Rural/Metro's outstanding common stock were grandfathered in under the amendment, the filing said.

Rural/Metro, a Scottsdale, Ariz., medical transportation company, said the amendment is intended to limit the risk that the company may not be able to fully utilize its net operating losses under section 382 of the Internal Revenue Code.
