R.R. Donnelley to hit primary market with $350 million notes Thursday

Columbus, Ohio, Feb. 28 - R.R. Donnelley & Sons Co. is expected to offer $350 million senior notes due 2021 (Ba3/BB) on Thursday, according to a market source.

An investor call will take place at 11:30 a.m. ET.

BofA Merrill Lynch, J.P. Morgan Securities LLC, Mitsubishi Securities and Wells Fargo Securities LLC are the joint bookrunners.

U.S. Bancorp Investments Inc., ING Financial Markets LLC, PNC Capital Markets, Citigroup Global Markets Inc., Fifth Third Securities Inc., TD Securities (USA) LLC, Loop Capital, Morgan Stanley & Co. LLC and Comerica are the co-managers for the Securities and Exchange Commission-registered deal.

The notes will be non-callable and feature a make-whole call at Treasuries plus 50 bps.

The Chicago-based integrated communication solutions provider will use the proceeds to partially fund tender offers for its 6 1/8% notes due 2017, 8.6% notes due 2016 and 7¼% notes due 2018.
