R.R. Donnelley to price $500 million seven-year notes on Tuesday

Portland, Ore., May 16 - R.R. Donnelley & Sons Co. plans to price a $500 million offering of non-callable senior notes due May 15, 2018 (Ba1/BB+) on Tuesday afternoon, according to an informed source.

Bank of America Merrill Lynch, Citigroup Global Markets Inc. and J.P. Morgan Securities LLC are the joint bookrunners for the public offering.

Mitsubishi UFJ Securities, US Bancorp, Fifth Third Securities, Inc. PNC Capital Markets LLC, Scotia Capital, TD Securities and UBS Investment Bank are the co-managers.

The Chicago-based integrated communications company plans to use the proceeds to fund a tender offer for all of its outstanding 11¼% notes due 2019 and to fund a partial tender offer for some of its other outstanding notes.
