Company sells 1.65 million common shares at $10.00 apiece to investors

Knoxville, Tenn., May 20 - ROI Acquisition Corp. said it will raise $16.5 million in a private placement of stock with Clinton Magnolia Master Fund, Ltd. and an affiliate of Clinton Spotlight Master Fund, LP.
The company will sell 1.65 million common shares at $10.00 apiece. The per-share price represents a 0.5% premium to the May 17 closing share price of $9.95.
Proceeds will be used for a portion of the purchase price in the company's planned acquisition of EveryWare Global, Inc.
The special purpose acquisition company is based in New York.
