RockTenn tenders for $100 million of 8.2% notes due 2011

New York, April 30 - RockTenn said it has begun a cash tender offer for up to $100 million of its 8.2% senior notes due 2011.

The company is offering to pay $1,030 per $1,000 principal amount for notes tendered by the early tender deadline of 5 p.m. ET on May 13. Included in the total is an early tender payment of $30 per $1,000 principal amount.

Holders who tender after the early deadline but before the expiration date of midnight ET on May 28 will receive par.

RockTenn will also pay accrued interest up to but excluding the settlement date, which is expected to be May 29.

If the response to the offer is more than $100 million, tenders will be accepted on a pro rata basis.

Funding for the tender will come from one or more debt financing transactions, including potential debt securities offerings. Completion of the financing is a condition to closing the tender.
