Athlon Energy plans investor call for $500 million eight-year notes; pricing Wednesday

Portland, Ore., April 16 - Athlon Energy Inc. plans to participate in a conference call with investors at 11:45 a.m. ET on Wednesday to discuss its $500 million offering of eight-year senior notes, according to a syndicate source.

The deal is set to price Wednesday.

Citigroup Global Markets Inc., BofA Merrill Lynch, Wells Fargo Securities LLC and UBS Securities LLC are the joint bookrunners for the Rule 144A for life offering.

The notes come with three years of call protection and feature a three-year 35% equity clawback at par plus the coupon and a 101% poison put.

The Fort Worth, Texas-based independent oil and gas exploration and production company plans to use the proceeds to partially fund acquisitions of certain producing properties and undeveloped acreage.

To the extent that certain acquisitions do not close, the company will redeem $250 million of the notes at par plus accrued interest.

The issuing entities will be Athlon Holdings LP and its co-issuer and wholly owned subsidiary, Athlon Finance Corp.
