Moody's may downgrade Riverdeep Interactive

Moody's Investors Service said it placed Riverdeep Interactive Learning USA, Inc.'s B3 corporate family and probability-of-default ratings and B1 (LGD2, 26%) $250 million first-lien senior secured revolving credit facility and $1.62 billion first-lien senior secured term loan B under review for possible downgrade following the announcement that the auditors of its parent company have resigned.

The agency said it will conclude the ratings review following the receipt of audited financial statements, currently expected by the company to occur on or before March 31.
