RightNow amends 2.5% notes so holders may convert notes into rights

Madison, Wis., Jan. 26 - RightNow Technologies Inc. entered into a supplemental indenture on Jan. 25 that amends the indenture dated Nov. 22, 2010 governing the company's 2.5% convertible senior notes due Nov. 15, 2030.

The supplemental indenture was made in connection with the completion of the merger of RightNow into OC Acquisition, LLC, a wholly owned subsidiary of Oracle Corp.

The amendment allows holders to convert each of their notes into a right. The value of each right is equal to the amount of cash that a holder of a number of RightNow common shares equal to the conversion rate in effect prior to the consummation of the merger would have owned or been entitled to receive in connection with the merger.

The conversion rate is subject to adjustment, as determined by the terms of the original notes indenture.

RightNow is a Bozeman, Mont.-based cloud computing software company.
