Fitch rates Republic Services notes BBB-

Fitch Ratings said it has assigned a rating of BBB- to the new 5.5% senior unsecured notes due 2019 to be issued by Republic Services, Inc. in a private placement.

The total principal amount of the new notes is $650 million, the agency said.

Of the proceeds, estimated at $639 million, $256 million will be used to fund a tender offer for certain senior unsecured notes maturing in 2010 and 2011 that also was announced, Fitch said.

One series of notes included in the tender offer was issued by Republic Services while other series were issued by its Allied Waste North America subsidiary, the agency added.
