Republic Services, Allied Waste confirm discussions

Charlotte, N.C., June 13 - Republic Services, Inc. and Allied Waste Industries, Inc. confirmed they are in discussions regarding a possible business combination.

Specifically, the companies said they are contemplating a transaction in which Allied Waste shareholders would receive 0.45 shares of Republic Services common stock for each share of Allied Waste common stock, according to a joint company news release.

Republic Services and Allied Waste cautioned that there can be no assurances that any transaction will occur.

The companies will not comment further on the discussions until and unless there are material developments, the release said.

Republic Services, based in Fort Lauderdale, Fla., provides environmental services including solid waste collection, transfer and disposal services in the United States.

Allied Waste is a non-hazardous solid waste services company located in Phoenix.
