RenaissanceRe files $750 million shelf registration

Philadelphia, June 8 - RenaissanceRe Holdings Ltd. filed a $750 million shelf registration in an S-3ASR filing with the Securities and Exchange Commission.

The registration covers common shares, preference shares, depositary shares representing preference shares or common shares, senior, subordinated or junior subordinated debt securities, warrants, senior, subordinated or junior subordinated debt securities of RenaissanceRe Finance (guaranteed by RenaissanceRe Holdings), senior, subordinated or junior subordinated debt securities of Glencoe U.S. Holdings Inc. (guaranteed by RenaissanceRe Holdings), trust preferreds, share purchase contracts and share purchase units, and units that may consist of any combination of these securities. The securities may be structured as convertibles.

Proceeds will be used by the company and its subsidiaries for working capital, capital expenditures, acquisitions and other general corporate purposes.

RenaissanceRe, based in Pembroke, Bermuda, is a property catastrophe reinsurer.
