RegionalCare to launch change-of-control amendment on Friday

By Sara Rosenberg

New York, Nov. 12 – RegionalCare Hospital Partners Inc. is scheduled to hold a lender call at 11 a.m. ET on Friday to launch a change-of-control amendment to its credit facility, according to a market source.

Deutsche Bank Securities Inc. is leading the amendment.

The credit facility currently consists of a $75 million revolver, a $339 million first-lien term loan and a $215 million second-lien term loan, the source said.

The amendment is being sought in connection with the buyout of the company by Apollo Global Management LLC from Warburg Pincus.

Signatures for the amendment are due by noon ET on Wednesday, the source added.

Closing is expected by year-end, subject to customary regulatory reviews and approvals.

RegionalCare is a Brentwood, Tenn.-based owner and operator of regional acute care facilities.
