Regal Entertainment selling $350 million eight-year notes Tuesday

Portland, Ore., Feb. 25 - Regal Entertainment Group plans to price a $350 million offering of eight-year senior notes Tuesday following a late-morning conference call with investors, according to a syndicate source.

Credit Suisse Securities (USA) LLC, Barclays, BofA Merrill Lynch, Deutsche Bank Securities Inc. and Wells Fargo Securities LLC are the joint bookrunners for the public offering.

The notes become callable after three years at par plus 75% of the coupon and feature a three-year 35% equity clawback and a 101% poison put.

The Knoxville, Tenn.-based motion picture exhibitor based plans to use the proceeds to refinance its existing 9 1/8% senior notes due 2018.
