Radiation Therapy acquires OnCure shares, guarantees 11¾% notes

New York, Oct. 30 - Radiation Therapy Services Holdings Inc. entered into an amended and restated indenture with OnCure Holdings, Inc. as issuer of $82.5 million aggregate principal amount of 11¾% senior secured notes due Jan. 15, 2017, according to an 8-K filing with the Securities and Exchange Commission.

On Oct. 25, Radiation Therapy Services, Inc. completed its previously announced acquisition of all of the outstanding shares of the reorganized OnCure for $42.5 million in cash upon the effectiveness of OnCure's plan of reorganization under Chapter 11 of the U.S. Bankruptcy Code and its guarantee of the 11¾% notes.

Of the outstanding notes, $7.5 million is subject to escrow arrangements.

The notes are callable beginning on Sept. 30, 2015.

Wilmington Trust, NA is the trustee and collateral agent.

Radiation Therapy is a Fort Myers, Fla.-based provider of advanced radiation therapy and other services to cancer patients. OnCure is an Englewood, Colo.-based provider of business management services and medical equipment to oncology physician groups that treat cancer patients. Its Chapter 11 case number is 13-11540.
