Procter & Gamble offers notes in two parts via three bookrunners

Knoxville, Tenn., April 21 – Procter & Gamble Co. intends to sell dollar-denominated notes in two tranches, according to a 424B5 filed with the Securities and Exchange Commission.

The notes may be called at the greater of a make-whole call and a par call.

Citigroup Global Markets Inc., Goldman Sachs & Co. LLC and Morgan Stanley & Co. LLC are the bookrunners.

Proceeds will be used for general corporate purposes.

Procter & Gamble is a Cincinnati-based maker of branded consumer packaged goods.
