Procera Networks plans to conduct a public offering of common stock

Bookrunner Stifel Nicolaus Weisel and co-manager Stern Agee assist

Knoxville, Tenn., June 8 - Procera Networks, Inc. plans to price a public sale of its common stock, according to a prospectus supplement filed Wednesday with the Securities and Exchange Commission and a company press release.

The deal has a 15% greenshoe.

Stifel Nicolaus Weisel is the sole bookrunning manager. Stern Agee is co-manager.

Proceeds will be used for working capital and general corporate purposes, including sales and marketing, research and development and procuring inventory.

Based in Fremont, Calif., Procera provides solutions for network traffic identification and management.
