Oracle to sell $10 billion of notes due 2023, 2024, 2027, 2037, 2047

Knoxville, Tenn., Nov. 7 – Oracle Corp. intends to offer fixed-rate notes (A1//A+) in five tranches, according to a 424B2 filing with the Securities and Exchange Commission. Fitch Ratings in a note said the senior notes would have a size of $10 billion.

The notes are due in 2023, 2024, 2027, 2037 and 2047.

The notes may be called at the greater of a make-whole amount and par until the par call date, after which they are redeemable at par. The par call dates are Jan. 15, 2023 for the 2023 notes, Sept. 15, 2024 for the 2024 notes, Aug. 15, 2027 for the 2027 notes, May 15, 2037 for the 2037 notes and May 15, 2047 for the 2047 notes.

BofA Merrill Lynch and Wells Fargo Securities LLC are the bookrunners.

Proceeds will be used for general corporate purposes, including stock repurchases, dividend payments, debt repayment and acquisitions.

The computer software and technology company is based in Redwood City, Calif.
