On2 Technologies sets Dec. 18 meeting date for Google merger vote

Charlotte, N.C., Nov. 4 - On2 Technologies Inc. will ask its shareholders to adopt the company's merger agreement with Google Inc. at a special meeting at 4 p.m. ET on Dec. 18, according to a 424B3 filing with the Securities and Exchange Commission.

The $106.5 million all-stock deal was announced on Aug. 5 and is expected to close in the fourth quarter.

Under the terms of the agreement, each share of On2 will be converted into 60 cents' worth of Google stock.

As previously reported, the Federal Trade Commission granted early termination of the Hart-Scott-Rodino waiting period in September.

On2 is a Clifton Park, N.Y.-based video compression software company.

Mountain View, Calif.-based Google said it expects the acquisition to improve its online video quality.
