Omnicom offers sweetener to convertible holders who do not exercise upcoming put

New York, July 28 - Omnicom Group Inc. said it will pay $37.50 per $1,000 principal amount of its zero-coupon zero-yield convertible notes due 2032 to holders who do not exercise the upcoming put.

The record date to receive payment will be immediately after the close of business on Aug. 1, and the money will be paid on Aug. 2.

Omnicom, a New York-based marketing and corporate communications company, issued $900 million of the notes in 2002.
