New Issue: Omnicom sells upsized $750 million 3.625% 10-year notes at Treasuries plus 170 bps

New York, April 18 - Omnicom Group Inc., along with Omnicom Capital Inc. and Omnicom Finance Inc. as guarantors, priced an upsized $750 million of 3.625% 10-year senior notes on Wednesday to yield Treasuries plus 170 basis points, an informed source said.

The size of the trade was increased from $500 million, the source said. The paper was sold tighter than whispered guidance in the 180 bps area.

The notes (Baa1/BBB+/) were priced at 99.567 to yield 3.677%. There is a make-whole call at Treasuries plus 30 bps.

The active bookrunners were Bank of America Merrill Lynch, Citigroup Global Markets Inc. and J.P. Morgan Securities LLC. Passive bookrunners were HSBC Securities (USA) Inc. and Wells Fargo Securities LLC.

Co-managers were BNP Paribas Securities Corp., Mitsubishi UFJ Securities (USA), Inc., Deutsche Bank Securities Inc., Moelis & Co. LLC, Banca IMI SpA, Barclays Capital Inc., Mizuho Securities USA Inc., SMBC Nikko Capital Markets Ltd., U.S. Bancorp Investments, Inc., ANZ Securities, Inc., Danske Markets Inc., ING Financial Markets LLC and Williams Capital Group, LP.

Proceeds will be used for general corporate purposes, including working capital, fixed asset expenditures, acquisitions, debt refinancing, common stock repurchase and capital transactions.

Omnicom was last in the market with a $1 billion issue of 4.45% 10-year notes priced at 155 bps over Treasuries on Aug. 2, 2010.

The holding company for marketing and corporate communication is based in New York City.
