Oklahoma Gas & Electric to sell senior notes via three bookrunners

Buffalo, N.Y., Jan. 3 – Oklahoma Gas & Electric Co. is preparing an offering of fixed-rate senior notes via three bookrunners, according to a 424B5 filing with the Securities and Exchange Commission.

The notes feature a make-whole call and then a par call.

J.P. Morgan Securities LLC, MUFG Securities Americas Inc. and U.S. Bancorp Investments, Inc. are the joint bookrunners.

BOKF, NA is the trustee.

GableGotwals and Husch Blackwell LLP are counsel to the issuer. Chapman and Cutler LLP are advising the underwriters.

Proceeds will be used for general corporate purposes, including to help fund the repayment of the company’s $500 million 0.553% senior notes due May 26, 2023 and funding for the company’s capital investment program and working capital needs.

The electric utility is based in Oklahoma City.
