Ohio Power to conduct senior notes offering via five bookrunners

Knoxville, Tenn., March 20 – Ohio Power Co. plans to price senior notes, series N, according to a 424B5 filed with the Securities and Exchange Commission.

The notes feature a make-whole call and then a par call.

Morgan Stanley & Co. LLC, RBC Capital Markets Corp., Scotia Capital (USA) Inc., SunTrust Robinson Humphrey Inc. and Wells Fargo Securities LLC are the bookrunners. The co-manager is Huntington Capital Markets.

Proceeds will be used for general corporate purposes, including repaying the company's $350 million of 6.05% senior notes, series G, due May 1, 2018 at maturity.

The subsidiary of American Electric Power is based in Columbus, Ohio.
