Ares Capital offers fixed-rate notes via four bookrunners

Chicago, Jan. 16 – Ares Capital Corp. is offering fixed-rate notes, according to a 424B2 filing with the Securities and Exchange Commission.

Call protection will be in the form of a make-whole premium until the notes become callable at par a number of months before the maturity date.

Change-of-control protection is at par.

BofA Securities, Inc., J.P. Morgan Securities LLC, SMBC Nikko Securities America, Inc. and Wells Fargo Securities, LLC are listed as joint bookrunners.

U.S. Bank NA will be the trustee.

Kirkland & Ellis LLP, Eversheds Sutherland (US) LLP and Venable LLP are advising the issuer.

Freshfields Bruckhaus Deringer US LLP is working as counsel for the underwriters.

Proceeds will be used for general corporate purposes, which may include investing in portfolio companies and repaying debt.
