New Issue: Nordson places four series of notes totaling $200 million

Charlotte, N.C., Sept. 5 - Nordson Corp. entered into a note purchase agreement on July 26 with a group of insurance companies to issue $200 million of senior notes, according to a 10-K filing with the Securities and Exchange Commission.

The notes were issued as follows:

• $68 million of 3.07% notes, series 2012-A, due July 25, 2025;

• $75 million of 3.13% notes, series 2012-B, due July 26, 2024;

• $37 million of 2.62% notes, series 2012-C, due July 26, 2021; and

• $20 million of 2.27% notes, series 2012-D, due July 26, 2017.

The notes have a make-whole call at Treasuries plus 50 basis points.

The company may from time to time sell $300 million of additional notes in one or more additional series under the agreement.

Purchasers include Aviva Investors North America, Inc., Jackson National Life Insurance Co. of New York, Ameriprise Certificate Co., Riversource Life Insurance Co. of New York, MONY Life Insurance Co., Axa Equitable Life Insurance Co., Horizon Blue Cross Blue Shield of New Jersey, Western and Southern Life Insurance Co., Columbus Life Insurance Co., Lafayette Life Insurance Co., Integrity Life Insurance Co., Kentucky Farm Bureau Mutual Life Insurance Co., Modern Woodmen of America, Protective Life Insurance Co., United of Omaha Life Insurance Co. and Aviva Life and Annuity Co.

Nordson is a provider of automated optical and high-resolution x-ray inspection systems. The company is based in Carlsbad, Calif.
