Morgan Stanley plans 1.9% buffered securities on iShares MSCI EAFE

Columbus, Ohio, Feb. 10 – Morgan Stanley Finance LLC plans to price fixed-income buffered securities due March 8, 2021 linked to the iShares MSCI EAFE exchange-traded fund, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will be guaranteed by Morgan Stanley.

The securities will pay a fixed semiannual coupon at an annual rate of at least 1.9%.

If the ETF finishes at or above its initial level, the payout at maturity will be par plus the return. If the ETF falls by up to 20%, the payout will be par. Otherwise, investors will lose 1.25% for each 1% the ETF falls beyond 20%.

The final ETF level will be the average of the closing share prices on June 3, 2020, Sept. 3, 2020, Dec. 3, 2020 and March 3 2021.

Morgan Stanley & Co. LLC is the agent.

The notes will price on March 3.

The Cusip number is 61768CFG7.
