Morgan Stanley to sell 0% capital-protected notes linked to index basket

Philadelphia, April 13 - Morgan Stanley plans to price 0% capital-protected notes due April 20, 2009 linked to a basket of three indexes, according to a 424B2 filing with the Securities and Exchange Commission.

The underlying basket includes the MSCI EAFE index with a 45% weight, the S&P 500 with a 40% weight and the MSCI Emerging Markets index with a 15% weight.

At maturity, investors will receive par plus 165% to 175% of the basket gain if the basket performance is positive and par if the basket performance is negative.

Pricing and settlement are expected in April.

Morgan Stanley will be the agent.
