Microsoft acquires Greenfield Online

Charlotte, N.C., Oct. 15 - A wholly owned subsidiary of Microsoft Corp. merged with and into Greenfield Online, Inc. in a short-firm merger, with Greenfield Online being the surviving corporation, according to a form 8-K filing with the Securities and Exchange Commission.

The subsidiary had acquired 25,124,846 shares, or 95.3%, of Greenfield Online at the end of the offer on Oct. 8.

Nasdaq is expected to have Greenfield Online delisted.

Following the acquisition, Microsoft appointed three representatives to the Greenfield Online board - Keith R. Dolliver, Benjamin O. Orndorff and John A. Seethoff - effective Oct. 9.

Lise J. Buyer, Charles W. Stryker, Burton J. Manning and Albert Angrisani resigned from the board.

In August, Greenfield Online terminated a merger agreement with affiliates of Quadrangle Group in favor of Microsoft's $486 million offer.

As previously noted, Microsoft, a Redmond, Wash., software company, will sell the assets of Greenfield Online's internet survey solutions business to an unnamed financial buyer.

Greenfield Online provides internet survey and comparison shopping solutions primarily in North America and Europe. The company is based in Wilton, Conn.
