Micro Focus increases offer, termination fee in deal with Borland

Charlotte, N.C., June 18 - Micro Focus International plc amended its May 5 merger agreement with Borland Software Corp. on Wednesday, upping its per-share offer price for Borland to $1.15 from $1.00 and increasing the termination fee to $4 million from $3 million, according to a form 8-K filed with the Securities and Exchange Commission.

As previously reported, Borland agreed to be acquired by the Newbury, England-based software company for about $76.85 million in cash.

Another bidder, listed as "Company E," withdrew its nonbinding offer to acquire Borland for $1.20 cash per share, the filing said.

Borland, based in Austin, Texas, is a vendor of open application lifecycle management solutions.
