Mexico offers fixed-rate global notes due 2033

Chicago, Aug. 8 – Mexico is offering new global notes due May 2033, according to a 424B2 filing with the Securities and Exchange Commission on Monday morning.

Pricing for the new notes will take place on Monday.

The notes will have a make-whole call until three months before the maturity date when there will be an optional par call.

BBVA Securities Inc., Goldman Sachs & Co. LLC, J.P. Morgan Securities LLC and Natixis Securities Americas LLC are the bookrunners.

Deutsche Bank Trust Co. Americas is the trustee.

Legal advisers to Mexico are Cleary Gottlieb Steen & Hamilton LLP and Mexico’s deputy federal fiscal attorney for financial affairs.

The bookrunners are using Sullivan & Cromwell LLP for U.S. law and Ritch, Mueller y Nicolau, SC for Mexican law.

Proceeds will be used to retire debt from Mexico’s switch tender offer, which is being conducted on Monday, and to redeem its 2025 notes and for the general purposes of the government.

An additional note in the filing said that Mexico intends to fund budgetary programs that qualify as eligible expenditures under the sustainable sovereign bond framework and are included in Mexico’s federal budget for the fiscal year 2022.

The notes will be listed on the Luxembourg Stock Exchange and the London Stock Exchange.
